These Terms and Conditions ("Terms") govern your access to and use of the Predictheus analytics platform ("Platform"), provided by Staffing Analytics LLC ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the Platform, you confirm that you are authorized to enter into these Terms on behalf of yourself or the entity you represent and that you agree to comply with these Terms.
2. Description of the Platform
Predictheus is a software-as-a-service (SaaS) platform that integrates with various Point of Sale (POS) systems, such as Square POS, to collect and analyze business data. The Platform utilizes this data to generate predictive insights, including but not limited to, demand forecasting, optimal inventory management recommendations, dynamic pricing suggestions, and staff scheduling assistance ("Insights").
3. Nature of Insights and Disclaimer
You acknowledge and agree that the Insights provided by the Platform are based on data analysis and statistical modeling. These Insights are predictions and data-driven estimations only and are not guarantees or promises of future performance, sales, demand, or any other business outcome.
Staffing Analytics LLC does not warrant the accuracy, completeness, or reliability of the Insights and shall not be held responsible for any decisions made or actions taken based on the Insights. You are solely responsible for evaluating the applicability and usefulness of any Insight for your specific business needs and for any consequences of your reliance on such Insights.
4. Data Usage and Privacy
a. Data Collection: The Platform collects data from your connected POS systems as authorized by you. This data may include sales figures, transaction details, product information, inventory levels, staffing information, and other relevant business metrics. This data may also include information related to your customers that is captured by your POS system, such as purchase history, and which may be processed by the Platform, potentially in an anonymized or aggregated form.
b. Ownership of Data: You retain all ownership rights to the data you provide or that is collected from your connected POS systems through the Platform ("Your Data").
c. Our Use of Data: You grant Staffing Analytics LLC a limited, non-exclusive, worldwide, royalty-free license to access, process, and use Your Data solely for the purpose of:
i. Providing you with access to and use of the Platform and its features, including generating and displaying Insights.
ii. Aggregating and anonymizing Your Data with data from other users to improve the Platform, develop new features, refine our predictive models, and for other internal business purposes.
iii. Conducting research and development, including the creation of research publications, provided that such publications only use aggregated or anonymized data that does not identify you or your customers personally.
We will not use Your Data in a way that identifies you personally to third parties for marketing or other external purposes without your explicit consent.
d. No Sale of Data: Staffing Analytics LLC will not sell Your Data to third parties.
e. Data Security: We will implement reasonable technical and organizational measures to protect Your Data against unauthorized access, disclosure, alteration, and destruction. However, you acknowledge that no data transmission over the internet or storage system can be guaranteed to be 100% secure.
f. Privacy Policy: Our collection and use of your data are also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
5. Your Obligations
You agree to:
a. Provide accurate and complete information when creating your account and using the Platform.
b. Ensure that you have the necessary rights and permissions to provide us with access to your POS system data, including any customer information contained within that data, and that such collection and processing by the Platform complies with all applicable privacy laws and regulations.
c. Use the Platform only for your internal business purposes and in accordance with these Terms and applicable laws and regulations.
d. Maintain the confidentiality of your account login credentials and be responsible for all activities that occur under your account.
e. Not use the Platform in a way that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.
f. Not attempt to gain unauthorized access to the Platform or its related systems or networks.
6. Intellectual Property
a. Our Intellectual Property: The Platform, including its software, algorithms, design, trademarks, and content (excluding Your Data), are owned by Staffing Analytics LLC or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the Platform solely for your internal business purposes in accordance with these Terms.
b. Your Intellectual Property: You retain all intellectual property rights in Your Data.
7. Confidentiality
Both parties agree to maintain the confidentiality of each other's confidential information obtained during the use of the Platform. Confidential information includes non-public information that the disclosing party designates as confidential or that the receiving party should reasonably understand to be confidential. The receiving party will not disclose or use the disclosing party's confidential information except as necessary to perform its obligations or exercise its rights under these Terms.
8. Limitation of Liability
To the maximum extent permitted by law, Staffing Analytics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
a. Your access to or use of or inability to access or use the Platform.
b. Any conduct or content of any third party on the Platform.
c. Any content obtained from the Platform.
d. Unauthorized access, use, or alteration of your transmissions or content.
e. Your reliance on the Insights provided by the Platform.
In no event shall the aggregate liability of Staffing Analytics LLC exceed the amount you paid to Staffing Analytics LLC for the use of the Platform in the twelve (12) months preceding the claim.
9. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice, effective immediately. You may terminate your account by contacting us. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the state or federal courts located in New York County, New York, as applicable.
11. Changes to Terms
We reserve the right to modify these Terms at any time. If we make changes that are material, we will provide you with reasonable prior notice. By continuing to access or use the Platform after the changes become effective, you agree to be bound by the revised Terms.
12. General Provisions
These Terms constitute the entire agreement between you and Staffing Analytics LLC regarding the use of the Platform. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
